Acceptance of terms
By accessing or using Clientele's website, services, or materials (the "Services"), you agree to be bound by these Terms of Service. If you do not agree, you should not access or use the Services.
Clientele may revise these Terms at any time. Material changes will be communicated through the website or by direct notice to active clients. Continued use of the Services after an update constitutes acceptance of the revised Terms.

Eligibility
You must be at least 18 years old and authorized to enter into binding agreements on behalf of yourself or the entity you represent. By using the Services, you confirm that you meet these requirements.

Engagements and deliverables
Client engagements — including audits, fractional leadership, creative production, and paid media management — are governed by a separately executed Statement of Work or Master Services Agreement. Where a conflict exists, those documents take precedence over these Terms.
Deliverables provided during an engagement are the property of the Client upon full payment, except for Clientele's underlying frameworks, templates, and internal tooling, which remain the property of Clientele.

Payment and fees
Fees are invoiced as specified in your executed agreement. Payments are due on the terms listed on each invoice. Late balances may incur a service charge at the maximum rate permitted by law.
Ad spend funded through Clientele on the Client's behalf is separate from service fees and is the Client's responsibility in full.

Client responsibilities
You agree to provide timely access to the accounts, assets, creative inputs, and personnel required to execute the engagement. Clientele is not responsible for delays or results materially caused by missing or inaccurate information provided by the Client.

Intellectual property
All Clientele branding, copy, designs, code, and proprietary content on this website are owned by or licensed to Clientele Holdings. You may not reproduce, distribute, or create derivative works without prior written consent.

Confidentiality
Both parties agree to hold in confidence any non-public information exchanged during an engagement. This obligation survives the termination of any agreement and applies to strategy, financials, customer data, and proprietary methodologies.

Disclaimer of warranties
The Services are provided "as is" and "as available." Clientele does not guarantee specific business outcomes, return on ad spend, or revenue results. Past performance is not indicative of future results.

Limitation of liability
To the maximum extent permitted by law, Clientele's aggregate liability arising out of or related to the Services shall not exceed the fees paid to Clientele during the three (3) months preceding the event giving rise to the claim. Clientele shall not be liable for indirect, incidental, or consequential damages.

Termination
Either party may terminate an engagement as set out in the executed agreement. Clientele reserves the right to terminate Services for non-payment, breach of these Terms, or conduct inconsistent with lawful and professional business practices.

Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from these Terms.
